SALES TERMS AND CONDITIONS

(Based on the legislation of the Republic of Azerbaijan)

1. General

1.1. These Sales Terms and Conditions ("Terms") govern the sale of industrial and related products ("Goods") by Providence Doytch LLC (“Seller”) through pdlwolrd-shop.com ("Website" or "pdlworld-shop.com"). By placing an order, the customer ("Customer") agrees to these Terms.

1.2. The Website reserves the right to amend these Terms at any time without prior notice. The latest version will always be available on pdlworld-shop.com.

2. Orders and Acceptance

2.1. The specifications of the Goods, including but not limited to dimensions, materials, and performance standards, shall be as described on the Website or agreed upon in writing between the Seller and Customer. The Customer is responsible for ensuring that the specifications meet their requirements before placing an order.

2.2. Orders placed via the Website are subject to acceptance by the Seller. The Seller reserves the right to accept or reject any order at its discretion.

2.3. An order confirmation will be sent via email upon successful order placement. This confirmation does not constitute acceptance. The Contract (hereinafter “Contract”) is formed only when the Seller confirms readiness to dispatch the ordered Goods, provided that the Customer has made full payment.

2.4. If any Goods are unavailable, Seller may cancel the order or offer an alternative product. Customers will be notified accordingly.

3. Pricing and Payment

3.1. Prices listed on the Website are in AZN and exclude applicable taxes, shipping fees, and duties unless stated otherwise.

3.2. Payment shall be of the essence of the Contract. The payment entity may be one of the following two types.

- Individuals or Non-Corporate Customers

The Customer shall pay for the ordered goods at time of purchase, in any event not later than 2 (two) business days.

- Corporate Customers

Unless stated otherwise, the Customer shall pay pdlworld-shop.com 's invoices in advance but not later than 2 (two) banking days.

3.3. The Seller reserves the right to change prices at any time without prior notice. If pdlworld-shop.com accepts and processes an online order where a pricing error is obvious and could reasonably have been recognised by the Customer as a mispricing, we may cancel the order, refund the Customer any sums paid and require the return of any Goods.

3.4. All prices quoted are exclusive of any applicable tax duties (including VAT) and other government charges which may be payable by the Customer in respect of the Goods and/or Services.

4. Shipping and Delivery

4.1. Unless otherwise stated in writing by pdlwolrd- shop.com Goods shall be delivered by the means most convenient to Seller to the address or addresses specified by the Customer at the time placing their order. The pdlwolrd-shop.com shall be entitled to add to Contract price a reasonable charge for packing and delivery. Off-loading (if required) shall be at the Customer’s expense and the Customer shall provide appropriate equipment and manual labour for such off-loading. The Customer shall provide all requisite instruction, documents, licences and authorization required for or relevant to the delivery of the Goods and /or Services to enable safe delivery to take place. Seller shall not be liable for any failure or delay in delivery as a result of the Customer failing to comply with this clause 4.1 or any other condition.

4.2. If the Customer chooses to collect the Goods from the premises of pdlworld-shop.com 's, pdlworld-shop.com shall notify the Customer of the collection date, and the Customer shall take delivery of the Goods within 7 (seven) calendar days of the collection date.

4.3. If the Customer fails to take delivery of the Goods or fails to give pdlworld-shop.com adequate delivery instructions at the time stated for delivery then, without prejudice to any other right or remedy available to pdlworld-shop.com, pdlworld-shop.com may at its option; (i) store the Goods until actual delivery and charge the Customer for the reasonable costs (including insurance) of storage or; (ii) sell the Goods at the best price readily obtainable and (after deducting all reasonable storage and selling expenses) account to the Customer for the excess over the price under the Contract or charge the Customer for any shortfall below the price under the Contract. The Customer shall pay such shortfall to pdlworld-shop.com within 28 days of the date of pdlworld-shop.com's demand.

4.4. Shipping times provided for Goods are estimates and not guaranteed. pdlworld-shop.com may deliver the Goods from different orders placed by the Customer on the same or different days either together or in separate shipments. The Seller is not responsible for delays beyond its control. Any liability of pdlworld-shop.com for non-delivery of the Goods shall be limited to replacing them within a reasonable time, or issuing a credit note against any invoice raised for, any such Goods that were not delivered.

4.5. Risk of loss and title pass to the Customer upon delivery of the Goods to the shipping carrier.

4.6. If the Customer provides incorrect shipping details, additional charges may apply for reshipment.

5. Returns and Refunds

5.1. Customers may return Goods within 14 days of receipt, provided they are unused, in original packaging, and in resellable condition.

5.2. To initiate a return, Customer must contact Seller support@pdlworld.com for a return authorization.

5.3. Refunds will be processed upon receipt and inspection of returned Goods in accordance with the Refund & Return Policy.

5.4. If the Customer has made the payment using a credit card, the refunded amount may take some time to appear on the Customer's credit card account. The Customer acknowledges, declares, and undertakes that the reflection of the refunded amount in the Customer's account after its return to the Bank is entirely subject to the Bank’s operational processes. The Bank is responsible for any possible delays, and pdlworld-shop.com cannot be held liable for such delays.

6. Warranty and Liability

6.1. Goods may be covered by a manufacturer’s warranty. Seller makes no independent warranties unless expressly stated.

6.2. Save as otherwise statedby pdlworld-shop.com, pdlworld-shop.com's liability for any defect or failure of the Goods is limited, at the Seller's discretion, to the following:

6.2.1. replacing or (in its discretion) repairing within reasonable time or paying for the repair or replacement of such Goods which, (in the case of defects apparent upon inspection) if notified within 14 days of delivery and in cases where the warranty applies (in the case of defects not so apparent) within 12 months of delivery to the Customer are found to be defective or fail or are unable to perform in accordance with the Contract by reason of faulty or incorrect design workmanship parts or materials;

6.2.2. in the event of any error in any description which has formed a representation or is part of a Contract then Seller's liability in respect of any direct loss or damage sustained by the Customer as a result of such error shall not exceed the price of the Goods in respect of which the description is incorrect.

6.3. pdlworld-shop.com will have no liability for damage in transit, shortage of delivery or loss of Goods unless the Clinet shall have given to pdlworld-shop.com written notice of such damage, shortage or loss with reasonable particulars thereof within 7 days of receipt of the Goods or (in the case of total loss) of receipt of the invoice or other notification of despatch. pdlworld-shop.com 's liability, if any, shall be limited to replacing or (in its discretion) repairing such Goods.

6.4. pdlworld-shop.com hall have no liability to the Customer in the event of any negligence or willful default on the part of its servants or agents in or in connection with the supply of any Goods or the design or manufacture or in the carrying out of any Services

6.5. The Seller shall not be liable to the Customer for:

- any indirect, special or consequential loss or damage; or

- loss of data or other equipment or property; or

- economic loss or damage; or

- incurring liability for loss or damage of any nature whatsoever suffered by third parties (including in each case incidental and punitive damages); or

- any loss of actual or anticipated profit, interest, revenue, anticipated savings or business or damage to goodwill,

even if the Seller is advised in advance of the possibility of any such losses or damages.

6.6. Any warranty claims must be submitted to Seller with proof of purchase.

6.7. pdlworld-shop.com shall honour the terms of any guarantee provided by the third-party manufacturer of which the Customer has benefit by virtue of it having purchased such Goods provided always that the Customer shall have complied with all and any terms imposed by the manufacturer's guarantee.

6.8. Where pdlworld-shop.com agrees to repair or replace Goods in accordance with the provisions of this clause 6 or otherwise any time specified for delivery under the Contract shall be extended for such period as pdlworld-shop.com may reasonably require.

7. Copyright and Intellectual Property

7.1. All content, materials, designs, graphics, logos, trademarks, and other intellectual property associated with this website content ("Website Content") are owned by or licensed to pdlworld-shop.com and are protected by copyright, trademark, and other intellectual property laws. All rights to the Website Content are reserved, unless explicitly stated otherwise.

7.2. Reproduce, distribute, modify, transmit, or use any of the Website Content for commercial purposes without the prior written consent of pdlworld-shop.com is prohibited. The Website Content may only be used for personal, non-commercial purposes, and Customer must be ensure that any copies of the Website Content include all relevant copyright and proprietary notices.

7.3. Any use of the Website Content beyond the scope of these Terms is prohibited, and any unauthorized use may result in legal action being taken.

7.4. By purchasing products or services through the Website, the Customer acknowledges that all rights, title, and interest in the intellectual property of pdlworld-shop.com are retained, and any unauthorized use of such intellectual property is strictly prohibited.

8. Data Privacy

8.1. pdlworld-shop.com shall process personal data solely for the purpose of providing the Product/Service in accordance with the Law of the Republic of Azerbaijan on Personal Data No. 998-IIIQ dated May 11, 2010, and related legislation. The Seller acknowledges, declares, and undertakes that it will not process the Customer's personal data, except for the personal data obtained through pdlworld-shop.com, and will not contact the Customer using methods other than those provided through pdlworld-shop.com.

8.2. The Customer is obligated to verify that the personal data provided under this Agreement is accurate, complete, and up to date, not to share this data with third parties, and to take necessary measures to prevent viruses and similar harmful substances. The Customer accepts, declares, and undertakes personal responsibility for preventing unauthorized access by irrelevant people to this data and ensuring the security of the aforementioned personal data. The Customer acknowledges and agrees that they are personally liable for any damage or claims that may arise from third parties.

8.3. The Customer acknowledges and confirms that they are aware that their personal data may be shared with partners, service providers, and authorized entities and organizations for the provision of products and services under this Agreement.

9. Force Majeure

"Seller shall not be liable to the other party, nor shall it be deemed to be in breach of this Contract, due to any delay in performing or failure to perform any of its obligations under this Contract if the delay or failure was beyond the party's reasonable control and could not reasonably have been foreseen or prevented (including, but not limited to, flood, earthquake, acts of God, war, or any prohibition or restriction imposed by any government or other legal authority that affects this Contract and was not in force at the time of the execution of this Contract)."

10. Cancellation

10.1. The pdlworld-shop.com reserves the right to cancel an order at its sole discretion, at any time prior to shipment, under the following circumstances, including but not limited to:

• Non-payment or Payment Verification Failure: If the payment is not successfully processed, authorized, or verified, pdlworld-shop.com has the right to cancel the order and will notify the customer of the cancellation.

• Unavailability of Goods: If the ordered goods are no longer in stock, are discontinued, or otherwise unavailable due to supply chain issues, the pdlworld-shop.com may cancel the order, in which case the Customer will be promptly notified.

• Errors in Product Description or Pricing: If there is an error in the pricing, description, or availability of the product, whether due to technical issues, human error, or any other reason, the pdlworld-shop.com reserves the right to cancel the order. In such cases, the pdlworld-shop.com will notify the Customer and may offer an alternative product or issue a refund.

• Violation of Pdlworld-shop.com Policies: If the order is deemed to violate any applicable policy of pdlworld-shop.com, including fraudulent activities or non-compliance with legal obligations, pdlworld-shop.com may cancel the order without further notice.

10.2. In the event that an order is canceled by the pdlworld-shop.com under any of the circumstances outlined in Section 10.1, the Customer shall be entitled to a full refund of any amounts paid in accordance with the pdlworld-shop.com's Refund & Return Policy. Accordingly, if payment has been successfully processed but the order is subsequently canceled by pdlworld-shop.com, the Customer will receive a refund in the original form of payment within 30 working days, unless stated otherwise.

The pdlworld-shop.com is not liable for any additional costs, losses, or damages incurred by the Customer as a result of such cancellations.

10.3. The Customer acknowledges that the pdlworld-shop.com’s right to cancel an order as outlined above supersedes any previous confirmation of the order and the Customer shall not make any claims in this regard in the future.

11. Governing Law and Dispute Resolution

11.1. These Terms shall be governed by and construed in accordance with the laws of the Republic of Azerbaijan.

11.2. Any disputes arising under these Terms shall be resolved through courts of the Republic of Azerbaijan.

11.3. In the event of any conflict between the stated texts, the Azerbaijani version shall prevail.
